How It Works
I don't sell your business for you. I advise you while you sell it. Here is the exact boundary of what I do and what I don't do.
What I do

—Explain what every term in the LOI actually costs you.
—Sit through diligence.
—Read the purchase agreement the way the buyer's lawyer will.
—Tell you when to walk.
—Answer the phone.
Engagement Scope
The ideal engagement covers the whole arc, start to finish. We begin a year before you go to market, clean up the financials, fix the operational issues that buyers use to discount valuation, and then walk side-by-side through the LOI, diligence, and closing.
However, reality rarely follows the ideal timeline. Many owners call me when they are holding an LOI from a buyer who approached them out of the blue, or when diligence has stalled and the deal is falling apart.
You can enter the engagement at any stage. We assess where you are, identify the immediate risks, and move forward.
What I don't do
—I don't list your business.
—I don't find or solicit buyers.
—I don't negotiate with the buyer as your agent.
—I don't touch escrow or hold funds.
This engagement is limited to the sell-side advisory work described here. It does not include legal services and does not create an attorney-client relationship.
Telling you not to sell is part of what you're paying for.
If we get four months in and the number isn't there, or the buyer isn't right, or you look at what comes after and realize you aren't ready — saying so is the job. I get paid for that work the same as any other.
That conversation is still part of the work, even when it leads away from a sale.
How the two sides fit together
Most of this describes a sale. Not everyone who calls me is selling, and some of the people who are shouldn't be yet. The standing conversation and the operational work are separate engagements with their own pages.
